Obowiązujące ją reguły mają być takie same w całej UE.

]]> W zamierzeniach Komisji Europejskiej nowy rodzaj firmy ma ułatwić transgraniczną działalność drobnym przedsiębiorcom w ramach UE. SUP (Societas Unius Personae) to rodzaj krajowej jednoosobowej spółki z o.o. Będzie ją można utworzyć od nowa albo w drodze przekształcenia. SUP będzie miała tylko 1 niepodzielny udział, bez limitu maksymalnej wartości. Minimalna wartość kapitału zakładowego to 1 euro lub np. 1 zł, 1 funt itd. (w zależności od waluty kraju, w którym rejestrowana jest firma). Przed wypłatą dywidendy wspólnik ma obowiązek składać m.in. oświadczenie o wypłacalności (iż spółka będzie mogła w niezakłócony sposób regulować swoje zobowiązania). Za bezprawne wypłaty osobiście odpowiada zarząd i wspólnik. Odpowiedzialność mają ponosić także tzw. faktyczni zarządcy, czyli menedżerowie wydający instrukcje zarządowi (np. szefowie spółek matek). 

Zgodnie z zapisami dyrektywy, SUP będzie można rejestrować
elektronicznie, bez udziału notariusza (jak również w sposób
tradycyjny). W całej UE ma obowiązywać jednolity formularz rejestracji.
