Po kilku miesiącach poszukiwania inwestora przez Simple już wiadomo, kto zostanie nowym właścicielem weterana polskiego rynku IT. Holenderska korporacja TSS Europe zamierza przejąć 100 proc. udziałów w Simple. Ogłosiła wezwanie na akcje. Zaproponowana cena to 13,01 zł za 1 akcję, co oznacza, że inwestor gotów jest wyłożyć 62,6 mln zł za grupę informatyczną znad Wisły.

Dogadali się we wrześniu

List intencyjny w sprawie zakupu podpisano już we wrześniu br. Dopiero teraz spółka ujawniła poufną informację. Poszukiwania inwestora trwały od marca br.

TSS zawarł już umowy dotyczące sprzedaży 56,44 proc. akcji Simple z głównymi udziałowcami – spółką Cron (31,38 proc.) i Bogusławem Miturą (20,82 proc.) oraz z menedżerami: Rafałem Wnorowskim, Michałem Siedleckim i Danielem Frygą.

Warunkiem powodzenia wezwania jest osiągnięcie pułapu 66 proc. udziałów w spółce. Do przejęcia Simple potrzebna jest zgoda UOKiK, na której uzyskanie strony dały sobie czas do końca marca 2021 r.

Współpraca w holenderskiej grupie

Uzgodniono także pod pewnymi warunkami zawarcie umowy dotyczącej strategicznej współpracy między Simple a grupą TSS Europe, integracji i realizacji wspólnych przedsięwzięć.

Zapisy na akcje będą przyjmowane od 5 stycznia do 5 lutego 2021 r. Rozliczenie transakcji ma nastąpić 12 lutego. Proponowana w wezwaniu cena za akcję jest o ok. 16 proc. wyższa niż średnia z ostatnich 3 miesięcy (10,91 zł). W razie powodzenia transakcji Simple zostanie wycofane z giełdy.

2 mln zł zysku po 3 kwartałach

W okresie 3 kwartałów 2020 r. Simple osiągnęło 30,1 mln zł przychodów ze sprzedaży, o ok. 1,5 mln zł mniej niż przed rokiem. Zysk netto wzrósł natomiast do 2 mln zł z 1,6 mln zł.

Działająca od ponad 30 lat grupa informatyczna specjalizuje się w systemach wspomagających zarządzanie (m.in. ERP, CRM, HCM, WMS). Informuje, że z jej oprogramowania korzysta ponad 25 tys. użytkowników.

TSS (Total Specific Solutions) inwestuje w pozyskiwanie i rozwój firm software’owych. Ma w Europie ponad 85 niezależnie zarządzanych przedsiębiorstw, specjalizujących się w oprogramowaniu dla różnych branż. „Naszym zadaniem jest zapewnienie im bezpieczeństwa finansowego, doradztwa strategicznego oraz przekazanie im naszych najlepszych praktyk” – deklaruje firma. Simple trafi więc do dużej „rodziny” podmiotów działających pod parasolem inwestora.

TSS w ostatnich dniach kupiło francuską spółkę Alcuin, dostawcę oprogramowania TMS (Training Management Systems) i HCM (Human Capital Management) oraz holenderską firmę BCT Software, specjalizującą się w zarządzaniu informacją.

Holenderski inwestor należy z kolei do kanadyjskiej korporacji Constellation Software, która ma ponad 125 tys. klientów w ponad 100 krajach. Zajmuje się pozyskiwaniem, zarządzaniem i tworzeniem firm dostarczających specjalistyczne oprogramowanie dla przedsiębiorstw.

Działające w Polsce firmy specjalizujące się w dostarczaniu oprogramowania dla przedsiębiorstw okazują się łakomym kąskiem dla inwestorów. Niedawno doszło do porozumienia w sprawie zakupu polskiego biznesu Sage. Natomiast Enterprise Investors przejmuje udziały w Software Mind.
W ocenie analityków segment enterprise software odbije najmocniej w przyszłym roku w porównaniu z innymi obszarami IT. Gartner prognozuje, że sprzedaż oprogramowania dla przedsiębiorstw w regionie EMEA wzrośnie w 2021 r. o 6,1 proc. r/r, do ponad 130 mln dol.
